Terms of Service

These Terms of Service ("Terms") govern your access to and use of BookSync and related services, including its Microsoft 365, Microsoft Teams, Microsoft 365 Copilot, and QuickBooks Online integrations (the "Service"), provided by Atlas Software LLC ("we," "us," or "our"). By accessing or using the Service, you agree to these Terms. These Terms also serve as the end-user license agreement for the Service.

1. Eligibility

You must be at least 18 years old and have authority to accept these Terms for yourself or the organization you represent.

2. Description of the Service

BookSync is a cloud service for timesheets, expense management, card and bank statement import, approval workflows, invoice creation from timesheets, and sending approved records to QuickBooks Online. BookSync creates records in QuickBooks; it does not send invoices to your customers, collect payments, or calculate taxes. Features may change as we develop the Service.

3. Accounts

You are responsible for accurate account information, keeping your credentials secure, and all activity under your account. Notify us promptly of any unauthorized access. Workspace owners and administrators control who may join their workspace and what each member can see and approve.

4. Subscription and billing

• Price: $24 per workspace per month, including one user, plus $15 per month for each additional active user, unless otherwise agreed in writing.
• Free trial: new workspaces receive a 30-day free trial. A valid payment method is required to start the trial. Unless you cancel before the trial ends, your subscription starts automatically and your payment method is charged.
• Billing: fees are charged monthly in advance through Stripe based on the number of active users. Adding users increases your next charge; removing users reduces it from the next billing cycle.
• Cancellation: you may cancel at any time. Access continues until the end of the current billing period. Fees already paid are not refundable for partial periods.
• Price changes: we will give at least 30 days' notice before a price change takes effect.

5. Acceptable use

You agree not to: violate any law; infringe others' rights; upload malicious code; attempt unauthorized access to the Service or other customers' data; resell or sublicense the Service without our written consent; or use the Service in a way that could damage or impair it.

6. Your data

You and your organization own all data you submit ("Your Data"). You grant us a limited license to store, process, and transmit Your Data only to provide the Service to you. You are responsible for the accuracy of Your Data and for reviewing records before you approve and send them to QuickBooks. Our handling of personal information is described in our Privacy Policy.

7. Third-party integrations

QuickBooks Online. When you connect QuickBooks, you authorize us to read the lists needed to map records and to create records you approve in your QuickBooks company. Your use of QuickBooks is also governed by Intuit's terms. You can disconnect at any time.

Microsoft 365, Teams, and Copilot. When you sign in with Microsoft or use BookSync from Microsoft Teams or Microsoft 365 Copilot, you authorize Microsoft to send us your sign-in identity and the requests you make, and you authorize us to act on those requests within your BookSync permissions. Your use of Microsoft products is governed by Microsoft's terms. Copilot may misunderstand a request; review entries Copilot creates before you submit or approve them.

We are not responsible for the availability or behavior of third-party services, or for changes they make that affect the integrations.

8. Intellectual property

The Service, including its software and design, is owned by Atlas Software LLC. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law.

9. Confidentiality

Each party will keep the other's non-public information confidential and use it only to perform under these Terms.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BOOKSYNC IS NOT ACCOUNTING, TAX, OR LEGAL ADVICE, AND WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATLAS SOFTWARE LLC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

12. Indemnification

You agree to indemnify Atlas Software LLC against claims arising from Your Data or your violation of these Terms.

13. Termination

We may suspend or terminate access if you materially violate these Terms or your use poses a security risk. You may cancel at any time from your workspace settings. After termination, we keep Your Data for 90 days so you can request an export, then delete it.

14. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Collin County, Texas.

15. Changes to these Terms

We may update these Terms. We will notify you of material changes by email or in the Service at least 30 days before they take effect. Continued use after that date means you accept the updated Terms.
